Terms of Service

1. Overview

These terms govern your use of Async CTO, a subscription-based technical leadership and development service operated by Wojciech Nowak, registered in Poland (“Provider”). By subscribing, you agree to these terms.

2. The service

Async CTO provides asynchronous CTO-level technical leadership and software development. This includes architecture decisions, code reviews, hands-on development, technical strategy, and project management — all delivered asynchronously via Notion and email.

The service is provided by a dedicated senior engineer (the Provider). Response times, capacity, and deliverables depend on the subscription tier and current workload.

3. Subscription & billing

• Standard plan: $9,500/month
• Founding plan: $7,500/month (limited availability)

Subscriptions are billed monthly through Stripe. Your billing cycle starts on the date of your first payment and renews automatically each month.

4. Cancellation & refunds

You can cancel your subscription at any time. Upon cancellation:

• You retain access for the remainder of the current billing period.
• No refund is issued for the current month's payment.
• No further charges will be made after cancellation.

New subscribers receive a 7-day trial period with a 75% refund guarantee. If you cancel within 7 days of your first payment, you will receive a 75% refund.

5. Intellectual property

All code, documentation, architecture, and other deliverables created for you as part of the service are your property. Upon delivery and payment, full ownership and rights transfer to you.

The Provider retains the right to use general knowledge, techniques, and non-confidential patterns developed during the engagement for other projects.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes but is not limited to: business plans, source code, credentials, and customer data.

7. Availability & response times

Async CTO is operated by a dedicated senior engineer. Typical response time is within one business day. During planned time off (holidays, vacation), you will be notified in advance and work will resume promptly upon return.

In the event of illness or emergency, we will inform you as soon as reasonably possible and, if needed, pause your subscription with unused days carried forward.

8. Termination by Provider

The Provider may terminate a subscription with 30 days' written notice in cases of:

• Non-payment after 14 days past the billing date
• Violation of acceptable use terms
• Requests consistently outside the defined scope of service

In the event of Provider-initiated termination, a pro-rata refund will be issued for any unused portion of the current billing period.

9. Limitation of liability

The service is provided “as is.” The Provider is not liable for indirect, incidental, or consequential damages arising from the use of deliverables. Total liability is limited to the amount paid in the current billing period.

10. Acceptable use

You agree not to use the service for any illegal purpose or to request work that violates applicable laws. The Provider reserves the right to decline or terminate a subscription if the requested work falls outside the scope of the service.

11. Governing law

These terms are governed by the laws of the Republic of Poland. Any disputes arising from these terms will be resolved by the competent court in Białystok, Poland.

12. Changes to these terms

We may update these terms from time to time. Active subscribers will be notified of material changes via email. Continued use of the service after changes constitutes acceptance.
